Welcome to Kovsk Digital LLC (“Kovsk,” “we,” “our,” or “us”). These Terms & Conditions (“Terms”) govern your access to and use of our website, services, and any digital products or templates offered by us. By visiting our site, purchasing a product, or engaging our services, you agree to these Terms. If you do not agree, please refrain from using our site or services.
1. Scope of Services
Kovsk Digital offers a range of digital services including—but not limited to—web development, app development, UI/UX design, marketing, consulting, and branding. We also provide pre-built templates, semi-customized websites, design assets, and productized services.
Your specific deliverables, timelines, and pricing will depend on the type of service or product purchased and will be outlined in a written proposal, invoice, product page, or custom agreement.
2. Ownership & Licensing
For fully custom projects, ownership of the final deliverables (code, design files, assets) is transferred to you upon full payment—except for any third-party licensed tools or resources.
For template-based or platform-based builds (e.g., WordPress themes, Shopify templates), you are granted a license to use the final customized version of the product, but Kovsk Digital does not transfer ownership of the original template, theme, or CMS framework. We cannot grant exclusive ownership rights over third-party materials.
3. Client Responsibilities
Clients are expected to provide all necessary content, images, feedback, and login credentials in a timely manner. Failure to do so may result in delays or additional fees. Kovsk Digital is not liable for missed timelines caused by incomplete or late client input.
Clients are also responsible for ensuring any content they provide (images, text, data, etc.) does not infringe upon third-party rights, copyrights, or privacy laws.
4. Payment Terms
All payments must be made according to the schedule outlined on your invoice, proposal, or digital product checkout. For custom services, we typically work on a milestone or upfront payment basis. For templates or productized services, full payment is due at checkout unless otherwise noted.
Payments are non-refundable once work begins or a digital product is delivered. If a project is paused or canceled by the client, fees for work already completed will still be due.
All third-party platform costs (e.g. hosting, plugins, domains, CRM software, APIs) are the client’s responsibility unless specifically included in your package.
5. Revisions & Scope Changes
Our services often include a limited number of revisions, depending on the package or proposal. Any requests that go beyond the agreed scope may require a change order and additional fees. Kovsk Digital will communicate clearly if a request falls outside the original scope.
6. Platform & Tool Integrations
Some projects may involve integration with third-party tools or platforms (e.g. Shopify, WordPress, Stripe, Google APIs, Meta Pixels, etc.). Kovsk Digital will configure or integrate these tools as agreed, but we are not responsible for changes, downtime, or pricing updates from third-party providers.
7. Limitation of Liability
Kovsk Digital is not liable for any direct, indirect, incidental, or consequential damages resulting from the use of our website, services, or products. While we make every effort to deliver high-performing and reliable work, we cannot guarantee specific results such as traffic increases, SEO ranking improvements, or financial gains unless explicitly stated.
We are not responsible for loss of data, downtime, plugin conflicts, or third-party tool issues that are outside our control.
8. Refund Policy
All digital products, templates, and services are non-refundable once delivered or accessed. For services, refunds are not available once a milestone has been completed or significant hours have been spent. If a refund is granted at our discretion, it may be subject to a processing fee.
9. Intellectual Property Display
Unless requested otherwise in writing, Kovsk Digital reserves the right to showcase completed work in our portfolio, case studies, and marketing materials. This includes screenshots, branding assets, and visual mockups.
10. Termination
We reserve the right to refuse or terminate any project or service for any reason, including but not limited to client misconduct, non-payment, or abuse of our team. In such cases, all completed work up to the point of termination will be invoiced accordingly.
11. Policy Updates
We may update these Terms at any time without notice. Continued use of our website or services after any updates constitutes your acceptance of the revised Terms.
12. Governing Law
These Terms are governed by the laws of the State of Tennessee. Any disputes or legal matters will be handled in the jurisdiction of Hamilton County, Tennessee.
