Welcome to Kovsk Digital LLC (“Kovsk,” “we,” “our,” or “us”). These Terms & Conditions govern your access to and use of our website, services, and any digital products or templates offered by us. By visiting our site, purchasing a product, or engaging our services, you agree to these Terms. If you do not agree, please refrain from using our site or services.

Scope of Services

Kovsk Digital offers digital services including web development, app development, UI/UX design, marketing, consulting, and branding. We also provide pre-built templates, semi-customized websites, design assets, and productized services.

Your specific deliverables, timelines, and pricing depend on the service or product purchased and will be outlined in a written proposal, invoice, product page, or custom agreement.

Ownership & Licensing

For fully custom projects, ownership of the final deliverables, including code, design files, and assets, transfers to you upon full payment, except for third-party licensed tools or resources.

For template-based or platform-based builds, you are granted a license to use the final customized version. Kovsk Digital does not transfer ownership of original templates, themes, CMS frameworks, or other third-party materials.

Client Responsibilities

Clients are expected to provide necessary content, images, feedback, and login credentials in a timely manner. Delays or additional fees may result from incomplete or late client input. Clients are also responsible for ensuring supplied content does not infringe third-party rights, copyrights, or privacy laws.

Payment Terms

Payments must be made according to the schedule in your invoice, proposal, or digital product checkout. Custom services typically use milestone or upfront payments. Templates and productized services require full payment at checkout unless otherwise noted.

Payments are non-refundable once work begins or a digital product is delivered. If a project is paused or canceled, fees for work already completed remain due. Third-party platform costs, including hosting, domains, plugins, CRM software, and APIs, are the client’s responsibility unless specifically included.

Revisions & Scope Changes

Services may include a limited number of revisions as outlined in the package or proposal. Requests beyond the agreed scope may require a change order and additional fees. Kovsk Digital will communicate clearly when a request falls outside the original scope.

Platform & Tool Integrations

Projects may involve third-party tools or platforms such as Shopify, WordPress, Stripe, Google APIs, or Meta Pixels. Kovsk Digital will configure or integrate these tools as agreed, but is not responsible for third-party changes, downtime, or pricing updates.

Limitation of Liability

Kovsk Digital is not liable for direct, indirect, incidental, or consequential damages resulting from use of our website, services, or products. We cannot guarantee specific results such as traffic increases, SEO ranking improvements, or financial gains unless explicitly stated. We are not responsible for data loss, downtime, plugin conflicts, or third-party tool issues outside our control.

Data Security, Cybersecurity & Third-Party Systems

Kovsk Digital uses reasonable administrative, technical, and organizational safeguards to protect project information and digital assets in our care. However, no website, server, platform, or transmission method can be guaranteed completely secure.

To the fullest extent permitted by law, Kovsk Digital is not responsible for losses, interruptions, unauthorized access, data breaches, malware, outages, or security incidents arising from third-party services, hosting providers, platforms, integrations, client-managed accounts, compromised credentials, or events beyond our reasonable control.

Clients are responsible for maintaining secure account credentials, keeping independent backups of their content and data, and promptly notifying Kovsk Digital of any suspected unauthorized access or security concern.

Refund Policy

Digital products, templates, and services are non-refundable once delivered or accessed. For services, refunds are not available once a milestone is complete or significant hours have been spent. Any refund granted at our discretion may be subject to a processing fee.

Intellectual Property Display

Unless requested otherwise in writing, Kovsk Digital may showcase completed work in its portfolio, case studies, and marketing materials, including screenshots, branding assets, and visual mockups.

Termination

We may refuse or terminate a project or service for reasons including client misconduct, non-payment, or abuse of our team. Completed work up to the point of termination will be invoiced accordingly.

Policy Updates

We may update these Terms at any time. Continued use of our website or services after updates constitutes acceptance of the revised Terms.

Governing Law

These Terms are governed by the laws of the State of Tennessee. Any disputes or legal matters will be handled in Hamilton County, Tennessee.
